1 · Who you are

Lead Tech

Lead Tech Marketing Agreement

This agreement is between Thrive Companies ("Thrive", "we", "us"), which operates the Lead Tech inbound call platform, and the person or business named on this form ("you"). It takes effect on the date you sign it.

1 · What you are buying

Thrive buys advertising, answers the calls that advertising generates, and transfers qualified callers to you. Depending on what you have ordered that may include:

  • Google Calls Subscription — inbound calls from paid search, routed to your line.
  • Inbound Final Expense Transfers — live transfers from the inbound desk, to a daily cap.
  • Individual Call — a single transferred call, billed on its own.
  • Recruiting Ad Campaign — a campaign run on your behalf to recruit producers.
  • Instagram Software — access to the messaging software and its templates.

What you have ordered, its price and its billing cycle are recorded on your account and on your Stripe receipts. Those records control.

2 · Ad spend is spent

Most of what you pay is advertising spend, and it is paid out to Google and the other ad platforms within hours of your payment clearing. Once it is spent it is gone. It cannot be recalled by Thrive, by you, by your bank, or by Google.

(a) Ad spend is non-refundable. Once a campaign has run, the money behind it is not recoverable and will not be returned, in whole or in part — including on a decision to stop, a change of mind, a change in your licensing, poor call outcomes, or your own close rate.

(b) You agree not to charge back ad spend. You will not start, and will not ask anyone else to start, a chargeback, payment dispute, ACH return or reversal against Thrive for any charge that is or includes advertising spend. If you think you have been charged in error you will raise it with us first, in writing, and give us ten (10) business days to put it right.

(c) If a chargeback is filed anyway. It is a breach of this agreement, and we may suspend call delivery and every other service on your account at once, set the disputed amount off against any wallet balance or credit you hold, and recover that amount together with the card network's dispute fee and our reasonable costs of collection. The account stays suspended until the balance is settled.

(d) This is not a waiver of fraud protection. Nothing here asks you to give up a dispute over a charge you did not authorise, a duplicate charge, or a charge for something never delivered. Those are section 4, and we refund them.

3 · The inbound portal rules

  1. The wallet runs the delivery. Calls are delivered against a funded wallet. At zero, delivery stops. Topping up restarts it. We do not deliver on credit.
  2. Payment is due the day it is raised. An invoice unpaid after 12 hours is past due, and a past-due account is paused: routing off for a subscription, spend paused for a campaign.
  3. You take the calls. Transfers start at the time you chose on this form and run through the day. A call you do not answer is still delivered and still billable. Tell us before your hours change.
  4. Licensing is yours to keep current. Accept transfers only in states where you hold an active, appointed licence. Tell us the same day one lapses and we will stop routing those states.
  5. Caps and coverage are set in writing. Your daily transfer cap and coverage area are recorded on your account. Ask for a change; never assume one we have not confirmed.
  6. Calls are recorded, for quality and for settling disputes. Taking transfers is your consent to that, and you confirm your own use of the recordings follows the law in the states you work.
  7. The callers are yours to work, not to sell. You may not resell, share, syndicate or re-transfer them to another agency, agent or lead buyer.
  8. One account, one agency. Your login and your routing are yours. Do not share them.
  9. Do not contact the ad platforms about our campaigns. The ad accounts are ours. Contacting Google about them, or complaining against them, is a breach of this agreement.
  10. Changes and cancellation. Cancel a subscription in writing before the next billing date. Cancelling mid-cycle stops delivery; ad spend already committed for that cycle is not returned (section 2). Pro-rata credits are section 4.
  11. Raising a problem. Email the fulfilment desk. We log it, listen back and come back to you, and every credit decision is recorded on your account.

4 · What we do refund

Refunded or credited in Stripe, against the recorded account:

  • An individual call that was mis-transferred, silent, duplicated, or outside your agreed states or hours — once we have listened back and confirmed it.
  • A cancelled membership, pro-rata from the cancellation date, for the part of the fee that is not ad spend.
  • Service quality, where we agree with you that we did not deliver what was ordered.
  • A duplicate charge, in full, as soon as both charges are visible.
  • Goodwill, at our discretion.

Raise a call credit within seven (7) days of the call. After that the recording may have aged out of retention and we cannot verify it.

5 · Your details, and your photo

Keep your contact details, licensing and hours current on the account.

A headshot is optional and only applies to agents writing under Thrive Companies. If you give us one, we may use it in Thrive Companies marketing — the company leaderboard, agent shout-outs and social posts — for as long as you are with the agency. Ask us and we will stop using it. If you are not an internal agent, no photo is needed and none is kept.

6 · General

Governed by the laws of the State of Florida. This is the whole agreement between us about the inbound call platform and it replaces anything said beforehand. If a court finds part of it unenforceable the rest stands. We may change these rules on thirty (30) days' notice; taking calls after that is acceptance.

Thrive Companies

Thrive Companies Agency Agreement

This agreement is between Thrive Companies ("Thrive", "we", "us") and the person named on this form ("you"), and it covers writing under the agency. It sits alongside the Lead Tech Marketing Agreement above; where that one is about buying calls, this one is about the agency relationship.

1 · Your debt is yours

An advance is a loan against commission you have not earned yet. If the policy charges back, lapses, or never pays, the advance comes back — and it comes back from you.

(a) A negative balance is a debt. If chargebacks take your account below zero, that balance is yours. We set it off against future commission first. If you stop writing, move agencies or leave, whatever is left is payable on demand.

(b) Rolling it up does not clear it. When a carrier rolls an unpaid balance up the hierarchy — to your upline, or to Thrive — the money moves but the responsibility does not. You still owe it. Thrive, or whoever absorbed it, may recover it from you directly and may set it off against any commission, bonus, override or other payment owed to you, now or later.

(c) You will not roll debt up on purpose. That means not writing business you expect to charge back, not writing on people who cannot or will not pay, and not walking away from a negative balance for the upline to absorb. Doing any of those is a breach of this agreement, and the balance becomes immediately due in full.

(d) What it costs to collect. If we have to chase a balance, you also cover the reasonable costs of collecting it, including legal fees.

2 · What belongs to Thrive

Everything the agency puts in your hands stays the agency's: scripts, rebuttals, training, recorded calls, the dialer build and its routing, lead sources and what they cost, carrier terms and commission levels, the software and its templates, the artwork, and anything else Thrive made or paid to have made.

You may use it while you are with Thrive, and not after. You will not copy it, keep it, publish it, sell it, or take it to another agency, IMO or FMO. Anything you produce for Thrive in the course of the work belongs to Thrive.

3 · No recruiting from inside

While you are with Thrive, and for twelve (12) months after you leave, you will not recruit or solicit any agent, producer or staff member of Thrive Companies to another agency, IMO or FMO — and you will not help anyone else do it.

What it costs. For each person you recruit or solicit in breach of this, you will pay Thrive $5,000, plus the reasonable costs of enforcing it. That figure is a genuine pre-estimate of what it costs the agency to replace and retrain somebody — the recruiting, the licensing, the onboarding, the production lost in between — and not a penalty. The actual loss is hard to measure, which is exactly why a figure is agreed up front.

What this does not stop. A general advertisement that is not aimed at Thrive's people, and somebody who comes to you entirely on their own without any approach from you or anyone acting for you.

4 · Confidentiality

Agent lists and contact details, commission levels, carrier terms, lead costs, client and applicant data — all confidential, while you are here and after you leave. Client data also has its own rules under law, and nothing here reduces them.

5 · General

Governed by the laws of the State of Florida. Sections 1 to 4 carry on after you leave. If a court finds any part of this unenforceable — the twelve months, or the $5,000 — it may reduce it to what is enforceable rather than striking it out, and the rest stands.
